This is a plain-language preview of the terms of sale Asteria plans to adopt for the marketplace. It exists so you can understand the shape of the agreement long before you are asked to accept it: who can buy, what you receive, what you may and may not do, and where responsibility begins and ends. It is a draft summary, not a contract.

Who can buy#

  • Age. You must be at least 18 years old, and old enough to enter a binding contract where you live.
  • Jurisdictions. The countries and regions where sales will be offered are to be announced, following legal review. Sales will not be offered where they would be unlawful, or to persons or places subject to applicable sanctions.
  • Your own account. You buy for yourself, using a wallet you control. You are responsible for keeping that wallet secure.

What you buy#

When you complete a purchase, you receive:

  • A token — a unique ERC-721 token, recorded on a public blockchain and held in your wallet.
  • A registry entry — the record linking that token to a catalogued asteroid, its official designation, its Asteria name, its story and its scientific data.
  • A digital certificate — artwork generated from the token's metadata, available to download.
  • A licence to display the certificate artwork, described below.

You do not receive ownership of, or any right in, the asteroid; an official name; or any share, profit right, governance right or claim against Asteria. See the legal framework.

Your licence to the certificate artwork#

Asteria keeps the intellectual property in the certificate design, artwork, animations and brand. While you hold the token, you are planned to receive a personal, non-exclusive, worldwide licence to:

  • Display the certificate and its artwork for personal, non-commercial purposes — on your walls, your screens, your profile.
  • Show it in online galleries and on marketplaces that display tokens you hold.

The licence passes to the next holder when the token is transferred. Commercial uses — merchandise, advertising, resale of prints — would need separate permission. The exact scope will be set out in the binding terms.

Names and dedications#

Every entry launches with a curated Asteria name. Where a personal dedication is offered, the content you submit must follow the naming guidelines. In short, a dedication must not:

  • Be offensive, hateful, harassing or sexually explicit.
  • Infringe anyone's trademark, copyright, privacy or other rights.
  • Include someone else's personal information without their consent.
  • Be political or commercial advertising.
  • Suggest that the name is official, or that the holder owns the asteroid.

Asteria may decline or remove dedication content that breaks these rules. Dedications may be public and permanent, so never include personal information you would not want published.

Prohibited uses#

You agree not to use your token, certificate or registry entry to:

  • Claim, or imply to others, that you own the asteroid or that its Asteria name is official.
  • Mislead anyone — for example, by presenting the certificate as a deed or a government document.
  • Manipulate a market, including wash trading or coordinated price manipulation.
  • Launder money, evade sanctions or fund unlawful activity.
  • Attack, overload or interfere with the marketplace, its contracts or other users.

Breaches may lead to suspension of access to Asteria's marketplace and services. Because tokens live on a public blockchain, Asteria cannot and does not plan to confiscate them.

Warranties disclaimer#

To the extent the law allows, the marketplace, tokens, certificates and data are provided "as is". In particular, Asteria does not promise:

  • That a token will have any value or that it can be resold.
  • That third-party wallets, marketplaces or networks will support, display or honour your token or its royalty settings.
  • That the service will be uninterrupted or free of errors.
  • That scientific data will not be refined or revised by future observations.

Nothing in the terms will limit any rights you have under mandatory consumer law, including statutory guarantees that cannot be excluded.

Limits of liability#

The binding terms will limit Asteria's liability, for example by excluding indirect losses and capping the amount recoverable. The specific limits are to be announced. These limits will not apply where the law forbids them — for example, liability for fraud, gross negligence, or death or personal injury caused by negligence, and your rights as a consumer.

Refunds and withdrawal#

On-chain transactions cannot be reversed. The refund policy, and how the EU consumer right of withdrawal applies to tokens and digital certificates, will be confirmed by counsel and set out in the binding terms. See Fees & royalties.

Governing law and disputes#

The governing law and the forum for disputes are to be announced. If you are a consumer, you will keep the protection of the mandatory consumer laws of the country where you live, whatever law the terms choose.

Changes to the terms#

Asteria may update the terms as the marketplace evolves. Material changes will be announced in advance and recorded in the changelog. Changes will not retroactively alter a purchase you have already completed; the terms in force at the time of purchase continue to govern it, except where the law requires otherwise.
